BYLAWS

Article I – MEMBERSHIP

Sec.1) The number of active members shall not be limited.

Sec. 2) Residents interested in joining the club shall attend at least 2 meetings, be aware of the mission of the club and express an interest in supporting the mission through membership in the club and financial support through dues.   Desire for membership shall be presented to the club and a majority of votes at such meeting shall result in a written invitation by the Club secretary to join the club at the May meeting.  Membership will formally begin at the May meeting with the pledge of membership and paying of dues.

Sec. 3) The club will not be re-affiliated with the General Federation of  Women’s Clubs without a 2/3 vote of active members.

Sec. 4) A member who wishes to become temporarily inactive must notify the secretary that she wishes to be be dropped temporarily from the membership.   When the member later wishes to rejoin the club, a vote will not be necessary to add a ex-member in good standing back to the roll.  Her membership shall resume at the May officer and membership initiation meeting and upon her payment of dues.

Sec. 5) Termination of membership may be by written resignation to the President, non-payment of dues, or moving from Monte Sano.

Sec. 6) All solicitations shall be voted on by the club.

ARTICLE II – MEETINGS & QUORUM

Sec.1) The regular meeting of the club shall be held at 7:00 P.M. the fourth Thursday of each month  September through May excepting November when it shall be the third Thursday and adjourned during the months of June, July, and August, except when otherwise ordered by the club or the Executive Board.

Sec.2) Prospective members are welcome at any non-business meeting.  The inviting member shall introduce the guest.  Non-residents who are guests of members are always welcome.  Any member bringing guests should notify the hostess in advance.

Sec. 3) The Executive Board shall meet as occasion requires.  Special meetings of the Executive Board may be called by the President.

Sec.4) Those in attendance at any regularly scheduled meeting shall constitute a quorum for a club meeting.

Sec. 5) A two-thirds majority of the executive committee shall constitute a quorum for an Executive Board meeting.

Sec. 6) A two-thirds majority of the committee members shall constitute a quorum for a committee meeting.

ARTICLE III – NOMINATION AND ELECTION OF OFFICERS

Sec.1) A Nominating Committee, assigned  by the president in January or February, shall present a slate of officers for consideration by the membership.  Nominations may also be made from the floor with the consent of the nominees.

Sec.2) The nomination and election of officers shall be held at the February or March meeting.  Installation of officers and new members shall be held at the May meeting.

Sec. 3) The officers shall be elected by a majority vote of the members present and voting.  Officers shall hold office for one year although they may be re-elected.

Sec. 4) If a vacancy occurs in office, except the office of President, the vacancy shall be filled by nominating a candidate(s) and voting at a regularly scheduled meeting.  In case of vacancy in the office of President, the Vice-President shall become President.

ARTICLE IV – DUTIES OF OFFICERS

Sec.1) The President shall preside at all meetings of the club,  shall serve as Chairperson of the Executive Board, and shall be an ex-officio member of all committees, except the Nomination Committee of the club and name the chairperson of each.

Sec.2) The Vice President shall, in the absence or inability of the President, perform the President’s duties and have the same authority as the President.  She shall serve as Program Chairperson.

Sec.3) The Secretary shall, under the direction of the President conduct the general correspondence of the club.  She shall keep an accurate record of the proceedings of all meetings of the club and the Executive Board, and maintain a correct list of the membership.

Sec. 4) The Treasurer shall collect and disburse funds of the club as directed.  She shall deposit all funds to the credit of the club in a bank approved by the Executive Board. Such funds shall be withdrawn only by checks signed by her or the President.  She shall give an itemized report of receipts and of disbursements at business meetings.  She shall make the books available to the Executive Club when requested. 

ARTICLE V – COMMITTEES

The following committees or positions are hereby identified and should be considered and filled as necessary at the first meeting in September.   Other committees may be created by the President as occasion and necessity require.  All committees shall perform their duties as enumerated below, or as may be outlined and defined by the President.

Sec. 1) The Constitution & Bylaws committee shall review the Constitution and Bylaws, consider any recommendations for its revision, make any other recommendations deemed necessary, and submit such changes for adoption at the next regular meeting.  The Parliamentarian shall serve as chairperson of this committee.

Sec. 2) The Sunshine Committee shall be responsible for acknowledging such events as births, illnesses, or deaths within the membership.  She shall also notify the secretary of these events so that the secretary can notify the membership at large.  Chairperson shall recommend to the club policies and proposed expenses relating to these events.

Sec. 3) The Publicity Committee & Historian shall assemble and distribute to local news media and the website news of the activities of the club, and shall keep the scrapbook up to date.

Sec. 4) The Social Committee shall be responsible for planning and arranging such social affairs of the club as may be needed.

Sec. 5) The Membership Committee shall notify the membership by email or telephone of all regular meetings of the club and shall, at the direction of the President, notify the membership of all special meetings or projects of which they should be reminded.

Sec. 6) The Yearbook Committee shall prepare and issue a Yearbook by the October meeting, and shall furnish a copy to each member of the club. 

STANDING RULES

ARTICLE I – DUES

Annual membership dues shall be $20.00 per year to be paid at the installation meeting in May and delinquent after September 30th.    If dues have not been paid by September 30th, the member shall be dropped from the club roll. 

ARTICLE II – PARLIAMENTARY AUTHORITY

Robert’s Rules of Order  Revised shall be the parliamentary authority for the club in all procedures not specifically covered by its Constitution and Bylaws.

ARTICLE III – AMENDMENTS

These  Bylaws may be amended at any meeting of the club by two-thirds vote of the members present and voting, provided notice of the proposed amendment has been given in writing to all club members at least one week in advance of the meeting.
